This is a legally non-binding translation of the German Nutzungsbedingungen. The German version is legally binding.

1. Scope of Application

These General Terms and Conditions (GTC) apply to all contracts concluded with

as supplier/provider/provider of products for the performance or provision of digital products and services (AI-powered platform for creating personalized morning emails).

Web Highlights GmbH ("We", "Us", "Our", "Company") develops web and mobile applications ("Our Products"). The MorningMail website (the "Website"), all other products and services, including web and mobile apps (the "Application", the "App") and all content offered as part of it, are collectively referred to herein as "Services" and are offered to you by Web Highlights GmbH. Our products provide content, functions, functionalities and other information and services, including but not limited to AI-powered email generation, modular drag-and-drop interfaces and related technology, even when accessed via the Internet, mobile or other devices (collectively "Our Services"). Subscribers, account holders, customers, users and others who download, access, use, purchase and/or subscribe to the services ("You") agree to these General Terms and Conditions (the "GTC"). These GTC govern your use of the services and are a condition for your use of the services.

By using our products and services, you accept these GTC. If you do not accept these GTC, you may not use our products and services. Web Highlights GmbH reserves the right to change these GTC at any time without prior notice. A current version of these GTC will be available on the official MorningMail website. All changes take effect immediately upon publication. By continuing to use our products, you agree to the modified GTC.

2. Order; Contract Formation; Delivery; Service Handover Point

2.1. Contracts for Digital Products

2.1.1. With their order, the customer makes a binding offer to conclude a contract with reference to these GTC. This applies regardless of the type and form of the ordering process (Internet, email, fax, telephone, letter, order form, etc.). For customer orders in electronic commerce (Internet, email), the customer receives an electronic confirmation summarizing the details of the order with the price(s).

2.1.2. The contract only comes into effect through explicit acceptance of the offer by Web Highlights GmbH. The confirmation of receipt is considered acceptance of the offer unless something to the contrary is stated therein. The beginning of the execution of the service is also considered acceptance. The contract text is stored after contract conclusion for electronic orders via the Internet and can be retrieved by the customer from Web Highlights GmbH.

2.1.3. If available, the ordered goods or services will be delivered or provided immediately.

2.1.4. The customer must be at least 16 years old, as the offered services and products are not suitable for children. By using this website or the app, you agree to the General Terms and Conditions presented here. If you do not agree to these General Terms and Conditions, you may not use this website or the app. To the extent that consent of one or all legal guardians is required for legal reasons, the minor customer declares that the consent of the legal guardian(s) is present.

2.2. Offered Services

2.2.1. MorningMail is an AI-powered platform for creating personalized morning emails. With MorningMail, you can create personalized daily morning emails with AI-generated content, use a modular drag-and-drop interface, support multiple languages and create timezone-aware content. All content is synchronized across your devices and can be configured for daily email delivery.

2.2.2. MorningMail offers various email modules, including news, weather, calendar, quotes and other customizable content. These modules are generated based on your preferences and settings.

2.3. Service Handover Point and System Requirements for Internet-Based Services/Deliveries

2.3.1. The service handover point for internet-based services/deliveries is the router output of the data center used by Web Highlights GmbH to the Internet. The customer must take care of connecting to the Internet, providing or maintaining the network connection to the data center, as well as procuring and providing network access components for the Internet on the customer side. As a rule, the technical prerequisite on the customer side for using internet-based services/deliveries is an Internet connection via ISDN or higher value.

2.3.2. Web Highlights GmbH is not responsible for the system environment on the customer side. Requirements for the hardware and software environment that must be met on the customer side result from the respective offer. The customer must ensure that they have the required system prerequisites. Web Highlights GmbH reserves the right to change the system environment in which the data is retrieved and the other system prerequisites at any time and to adapt them to new technical developments. This may result in changes to the technical requirements for customer access. The customer is responsible for adapting their access computer to the changed system prerequisites. Web Highlights GmbH will inform customers who have concluded a contract for permanent or recurring services in advance within reasonable time of upcoming changes.

3. Prices and Payment Terms

3.1. All prices are in Euros including statutory VAT, insofar as this applies.

3.2. MorningMail offers various credit plans that provide different amounts of monthly credits for email generation. The prices for these plans are displayed on the website and may change.

3.3. Payments are processed through Paddle.com Market Ltd, Judd House, 18-29 Mora Street, London, EC1V 8BT, United Kingdom. Paddle acts as the “Merchant of Record” (reseller) and is therefore the contractual counterparty for the payment; invoices are issued by Paddle. The payment terms are governed by Paddle's terms.

3.4. In case of payment default, we reserve the right to suspend or terminate the service.

3a. Right of Withdrawal for Consumers (Refund Policy)

Consumers within the meaning of Sec. 13 BGB (German Civil Code) have a statutory right of withdrawal when concluding a distance contract. We inform you about this right below.

3a.1. Withdrawal Instructions

Right of withdrawal. You have the right to withdraw from this contract within 14 days without giving any reason. The withdrawal period expires 14 days after the day of the conclusion of the contract.

To exercise the right of withdrawal, you must inform us (Web Highlights GmbH, Glockenstr. 35, 40476 Düsseldorf, Germany, email: marius@morningmail.ai) of your decision to withdraw from this contract by an unequivocal statement (e.g. a letter sent by post or email). You may use the model withdrawal form below, but it is not mandatory. To meet the withdrawal deadline, it is sufficient for you to send your communication concerning your exercise of the right of withdrawal before the withdrawal period has expired.

Effects of withdrawal. If you withdraw from this contract, we shall reimburse to you all payments received from you, including the costs of delivery (with the exception of the supplementary costs resulting from your choice of a type of delivery other than the least expensive type of standard delivery offered by us), without undue delay and in any event not later than 14 days from the day on which we are informed about your decision to withdraw from this contract. We will carry out such reimbursement using the same means of payment as you used for the initial transaction, unless you have expressly agreed otherwise; in any event, you will not incur any fees as a result of such reimbursement.

3a.2. Top-Ups (Credits)

Credits are digital content not supplied on a tangible medium. We provision the credits to your account immediately after the contract is concluded so you can use them right away. Otherwise, the withdrawal terms set out in section 3a.1 apply.

3a.3. Compensation for Value upon Withdrawal of Subscriptions

Subscriptions (recurring plans) are digital services within the meaning of § 356 (4) BGB. By placing your order you expressly request that we begin providing the subscription before the end of the withdrawal period; we therefore activate the subscription immediately on contract conclusion.

If you withdraw within the 14-day withdrawal period, you owe us pro-rata compensation for value under § 357 (8) BGB for the services rendered up to the moment we receive your withdrawal. The unused portion is refunded.

4. Usage Rights and Restrictions

4.1. Web Highlights GmbH grants you a non-exclusive, non-transferable, revocable right to use the MorningMail services exclusively for your personal or business purposes.

4.2. You may not:

• Use the services for illegal purposes
• Attempt to gain unauthorized access to our systems
• Transfer or rent the services to third parties
• Reverse engineer or decompile the application source code
• Misuse the services for spam or other harmful purposes

4.3. You are responsible for all activities that take place under your account and for compliance with these terms of use.

5. Credit System and Usage Limits

5.1. MorningMail uses a credit system where different email modules have different credit costs.

5.2. Credits are added to your account according to your chosen plan — for subscriptions, monthly at the start of each billing period; for one-off top-ups, immediately after contract conclusion. Unused credits do not expire; they remain in your account, including past the end of a billing period or after a subscription is cancelled.

5.3. With insufficient credits, no new emails can be generated. You can purchase additional credits at any time or wait until next month.

5.4. The credit system serves fair resource distribution and cost coverage for AI generation and email delivery.

6. Data Protection and Data Security

6.1. Web Highlights GmbH observes the provisions of applicable German and EU data protection law as well as other relevant laws with data protection provisions.

6.2. All personal data is transmitted and stored encrypted.

6.3. Where Web Highlights GmbH engages external service providers to deliver the service (e.g. hosting, authentication, AI generation, email dispatch, payment processing, audience measurement), this is done on the basis of data processing agreements pursuant to Art. 28 GDPR. The individual processors, data categories, legal bases and retention periods are documented conclusively in our Privacy Policy .

7. Intellectual Property

7.1. All texts, graphics, designs, logos, button symbols, images, data compilations and information ("Content") contained in our products and services are intellectual property of Web Highlights GmbH (or belong thereto) and are protected by copyright laws.

7.2. MorningMail and all associated software as well as all patent rights (including patent applications and disclosures), copyrights, trade secrets, know-how and all other intellectual property rights thereto or in relation thereto (including derivative works) are and remain the exclusive property of Web Highlights GmbH or its licensors.

7.3. You retain the rights to the email content you create, but grant us the right to process it for the provision of the service.

8. Defect Liability

8.1. If the customer is a consumer, they are entitled to the statutory defect claims.

8.2. In case of material defects of the delivered goods, Web Highlights GmbH is obliged and entitled to remedy or replacement delivery at their own choice within a reasonable period to be determined. In case of failure, particularly also impossibility, unreasonableness, refusal or unreasonable delay of the remedy or replacement delivery by Web Highlights GmbH, the customer can withdraw from the contract or reasonably reduce the purchase price.

9. Liability Limitation

9.1. The services are regularly created, revised and updated with the expected care. Web Highlights GmbH is not liable for the accuracy, economic usability or legally permissible implementability of the information contained in the products/services.

9.2. For negligently caused damages, Web Highlights GmbH is only liable insofar as they are based on the violation of essential contractual obligations (cardinal obligations). Cardinal obligations are those contractual obligations whose fulfillment first enables the proper execution of the contract and on whose compliance the customer regularly trusted and could trust. To the extent that we were liable for simple negligence, the liability of Web Highlights GmbH is limited to the typically foreseeable damage.

9.3. For negligently caused delay damages, the liability of Web Highlights GmbH is limited to the typically foreseeable damage, but maximum 5% of the total price agreed in the affected contract. Web Highlights GmbH is not liable in case of simple negligence of its legal representatives, employees or other vicarious agents.

9.4. The liability limitations provided for in this section do not apply to the liability of Web Highlights GmbH due to intentional behavior or gross negligence, for guaranteed quality characteristics, due to violation of life, body or health, in case of fraudulent concealment of defects or according to the Product Liability Act.

9.5. Web Highlights GmbH is not responsible for failures or service interruptions that occur from time to time when using our products, including those due to software, hardware or power failures or problems at the mobile phone provider level. Furthermore, Web Highlights GmbH is not responsible for the products and services provided by others, including the user's mobile phones or wireless data networks.

10. Termination and Contract End

10.1. You can cancel your account at any time by logging into your account and canceling in your account information, or by sending an email to marius@morningmail.ai.

10.2. Web Highlights GmbH can terminate the contract with 30 days' notice if you violate these terms of use.

10.3. Upon contract termination, all your data will be deleted within 30 days, unless statutory retention periods apply.

11. Rights of Web Highlights GmbH

Web Highlights GmbH has the right to temporarily or permanently exclude customers from using the offer in case of violations of these terms of use, laws and/or other rules published on the platform and/or to restrict or delete user accounts and/or functions at any time. Before a permanent suspension or deletion, Web Highlights GmbH will — unless precluded by safety or legal reasons — give the customer prior notice and an opportunity to comment.

12. Jurisdiction & Applicable Law

12.1. For all legal relationships of the parties, the law of the Federal Republic of Germany applies, excluding the laws on the international sale of movable goods. For consumers, this choice of law only applies insofar as the protection granted is not withdrawn by mandatory provisions of the law of the state in which the consumer has their habitual residence.

12.2. If the customer has their seat outside the territory of the Federal Republic of Germany, the business seat of Web Highlights GmbH is the exclusive place of jurisdiction for all disputes arising from this contract, if the contract or claims from the contract can be attributed to the customer's professional or commercial activity. However, Web Highlights GmbH is entitled in the aforementioned cases to call the court at the customer's seat in any case.

13. Alternative Dispute Resolution

The EU Commission provides a platform for online dispute resolution on the Internet at the following link: http://ec.europa.eu/consumers/odr

This platform serves as a contact point for the out-of-court settlement of disputes arising from online purchase or service contracts in which a consumer is involved. Web Highlights GmbH is neither obliged nor willing to participate in a dispute resolution procedure before a consumer arbitration body.
